The Client engages Elite Data Company ("Service Provider") to design, develop, and implement services in accordance with the agreed-upon Scope of Work ("SOW").
Services may include website architecture and development, compliance-focused content structure, security and access control, data analysis and reporting, IT systems management, mobile application development, and AI/ML solutions.
The Client agrees to provide accurate and lawful data, review deliverables promptly, and assume responsibility for all business operations and regulatory compliance post-launch.
The Service Provider does not provide legal advice and makes no guarantees regarding regulatory approval or compliance outcomes. The Client retains sole responsibility for regulatory compliance.
Any work outside the defined SOW must be requested in writing and approved by both Parties.
Payment terms including total fees, payment schedules, and milestones will be defined in the SOW. No work shall commence until the initial payment has been received.
Upon full payment, the Client shall own all final project deliverables. The Service Provider retains ownership of all pre-existing tools, frameworks, and methodologies.
Both Parties agree to maintain the confidentiality of all non-public information disclosed during the engagement.
The Service Provider's total liability shall not exceed the total fees paid by the Client. The Service Provider is not liable for indirect, incidental, consequential, or punitive damages.
This agreement remains in effect until completion of the SOW unless terminated by either Party for material breach.
The Service Provider is an independent contractor. Nothing in this agreement creates a partnership, joint venture, or employment relationship.
This agreement shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which the Service Provider operates.
This agreement and the SOW constitute the entire agreement between the Parties and supersede all prior negotiations or agreements.
